With this acquisition, along with its existing shareholding of 22.77%, UltraTech’s total shareholding in ICEM has increased to 17,19,55,887 equity shares, representing 55.49% of ICEM’s equity share capital. As a result, ICEM has become a subsidiary of UltraTech, effective 24th December, 2024.Additionally, UltraTech has made an open offer to the public shareholders of ICEM to acquire upto 8,05,73,273 equity shares of Rs.10/- each, representing 26% of ICEM’s equity share capital, at an offer price of Rs. 390/- per share. The tendering period for the offer began on 8th January, 2025 and closed on 21st January, 2025. The number of shares tendered under the open offer is more than the size of the offer. Consequently, UltraTech will accept shares tendered on a proportionate basis in consultation with the Manager to the Offer. Payment of consideration for shares accepted will be completed on or before 4th February, 2025. &nbsp;<h3>FINANCIALS</h3>Consolidated Net Sales was Rs. 16,971 crores vis-à-vis Rs. 16,487 crores over the corresponding period of the previous year. Profit before interest, depreciation and tax was Rs. 3,131 crores compared to Rs. 3,395 crores. Profit after tax was Rs. 1,470 crores compared to Rs. 1,777 crores. &nbsp;<h3>OPERATIONS</h3>UltraTech achieved a capacity utilisation of 73% during the quarter. Domestic sales volume grew 10% YoY. Energy costs were lower by 13% YoY and 4% QoQ mainly on account of decrease in fuel cost. &nbsp;<h3>CAPITAL EXPENDITURE</h3>UltraTech’s expansion program is progressing as per schedule.As part of its ongoing capacity expansion program, UltraTech commissioned an additional 1.8 mtpa capacity. With the acquisition of The India Cements Limited, UltraTech’s cement capacity has increased to 171.11 mtpa, on a consolidated basis.Upon completion of the ongoing expansion projects and the acquisition of Kesoram Cement (10.75 MTPA), UltraTech will achieve the unique milestone of more than 200 mtpa cement capacity in the country by the end of FY27. &nbsp;<h3>SUSTAINABILITY</h3>UltraTech is the first cement company in India to leverage National Waterways to transport a large consignment of raw materials via the National Waterway (Ganga-Bhagirathi-Hooghly River system).The use of inland waterways over roadways and railways is expected to result in significant carbon emissions reduction. This pilot movement over National Waterway underscores UltraTech’s commitment to green logistics as a key enabler in achieving its Net Zero goal by 2050.Continuing its stated commitment towards enhancing environment conservation measures, UltraTech commenced 16 MW of WHRS capacity during the quarter. With this, the Company’s total WHRS capacity stands augmented to 324 MW. The share of green power (including WHRS and RE Power) in the Company’s power mix is 33.4% for the quarter. &nbsp;<h3>GOING FORWARD</h3>The government’s focus on infrastructure and housing projects together with increased rural and urban demand, is expected to generate a sustainable volume growth of 7- 8%, going forward.As India Build’s – India Grows! Additionally, inventory levels reached its lowest levels of 8 days. Improving demand scenario in China has led to the third consecutive quarter of price improvement in CSF prices from an average of $1.51/kg in Q3FY24 to $1.65/kg in Q2FY25.CSF business achieved its highest ever quarterly sales volume at 219 KT up 4% YoY led by stable domestic demand. EBITDA Margins improved on the back of higher sales volume and improving trend in global prices. Volume growth in CFY business was driven by festive demand, however realisation remains under pressure due to Chinese producers’ aggressive pricing for the Indian markets. Cellulosic Fibres segment reported revenue of ₹4,125 Cr. and EBITDA of ₹494 Cr., marking a YoY increase of 6% each.&nbsp;<h3>Chemicals (Chlor-Alkali, Chlorine Derivatives and Specialty Chemicals)</h3>Caustic Soda international average spot prices (CFR-SEA) recovered for the fifth consecutive quarter to $471/ton in Q2FY25, up 13% YoY. Domestic realisations also improved, however ECU realisations declined by 4% YoY to ₹30,650/ton mainly due to increased negative chlorine realisations on account of continued oversupply conditions.The Chemicals business revenue stood at ₹2,054 Cr., up 3% YoY. Caustic soda sales volume was down by 4% YoY due to lower production on account of maintenance shutdown of the captive power plant at Vilayat. EBITDA for the Chemicals segment stood at ₹273 Cr. up by 16% YoY driven by higher profitability in Chlorine Derivatives and Specialty Chemicals businesses.&nbsp;<h3>Building Materials (Cement, Paints and B2B E-commerce)</h3>Building Materials segment reported revenue of ₹16,683 Cr., up 3% YoY driven by Paints and B2B E-Commerce businesses. EBITDA stood at ₹1,886 Cr., down 28% YoY, mainly due to lower realisations in cement business and initial investments in building a consumer facing brand ‘Birla Opus’ in the Indian decorative paints market.Consolidated sales volumes of the Cement business (UltraTech) were up by 4% YoY to 27.84 MT and ready-mix concrete sales volumes grew by 19% YoY to 3.01 Mn m3. UltraTech Building Solutions (UBS) outlets increased to 4,236, contributing 19.4% of total sales. During the year, UltraTech added 9.9 Mn TPA of grey cement capacity (till Oct’24) with a target to reach total grey cement capacity of 162.4 Mn TPA in FY25.In the paints business (Birla Opus), production is steadily ramping at its three plants - Ludhiana, Panipat and Cheyyar commissioned in Q1 of this financial year. Trial production has started at Chamarajanagar and Mahad plants. The new advertisement campaign ‘Naye Zamane ka Naya Paint’ was launched across print, TV, digital and outdoor channels after the successful launch of the first media campaign ‘Make life Beautiful’. The new advertisement campaign focuses on innovative features and superior product quality across interior, exterior &amp; waterproofing paints by ‘Birla Opus’. The product availability has increased to 129 products with 900+ SKUs already placed in the distribution channel. The product reach has increased to 4,300+ towns being serviced from 114 depots operational across India. The product quality is garnering excellent feedback and good demand is witnessed from contractors and consumers at the dealers’ network leading to increase in counter share. The total Capex for the business is ~₹8,470 Cr. till September 2024, ~85% of the planned Capex outlay.Birla Pivot, the B2B E-Commerce business revenue continues to grow in-line with the plan and remains on track to achieve revenue of $1 billion in three years as announced in FY24. The business has expanded its product offerings across 35 product categories comprising 40,000+ SKUs sourced from 300+ Indian and International brands. Birla Pivot continues to expand its geographical reach with delivery to 375 cities across 26 states and union territories.&nbsp;&nbsp;<h3>Financial Services</h3>Revenue and EBITDA of the financial Services business (Aditya Birla Capital), as consolidated in accordance with Ind AS, stood at ₹10,252 Cr. and ₹1,280 Cr., registering growth of 33% and 25%, respectively. The overall lending portfolio (NBFC and HFC) increased by 27% YoY to ₹1,37,946 Cr. The total AUM (AMC, life insurance and health insurance) crossed the milestone of ₹5,00,000 Cr., with a growth of 24% YoY. The business continues to focus on leveraging technology to provide customers an omni-channel experience. During the quarter, the D2C platform, ABCD (Aditya Birla Capital Digital), introduced new products such as digigold gifting, family health scan, gold loan and pocket insurance. ABCD application manages +2.5 mn customers as of Oct’24. Udyog Plus, the channel addressing the needs of MSMEs, continues to scale up well with 16 lakh+ registrations and a total AUM of ~₹2,900 Cr.&nbsp;<h3>Other Businesses (Textiles, Renewables and Insulators)</h3>Revenue from other businesses stood at ₹778 Cr. and EBITDA stood at ₹45 Cr. In Renewable business cumulative installed capacity crossed milestone of 1 GW, up 21% from 894 MW in Mar’24.&nbsp;&nbsp;<h3>Capital Expenditure</h3>Capital expenditure for H1FY25 stood at ₹1,884 Cr. (₹118 Cr. to be spend in FY25) for additional pulp capacity at Harihar and ₹20 Cr. for Textiles business.&nbsp;<h3>Sustainability</h3>For FY24, Grasim has achieved its highest ever S&amp;P Global ESG Score of 71 by Dow Jones Sustainability Index (DJSI), recognising our sustainability initiatives. The Company remains committed to increase the adoption of renewable energy and water recycling across manufacturing units. On a standalone basis, the proportion of recycled water consumption to freshwater consumption improved to 52%. January 24 is National Girl Child Day: Hello Manyata and Kashika!

With the turn of 2024, we have turned the page to a historical moment— a quarter of a century. It is striking to consider how much history has been compressed into these 25 years. This has been no ordinary span of time. This has been an era of tectonic shifts. From the dawn of the digital age and the globalisation of economies to the climate reckoning and the relentless march of artificial intelligence, these years have witnessed transformations that once would have taken centuries to unfold. In many ways, eras have collided, overlapped, and dissolved into each other, leaving a world forever altered—more connected yet divided, more advanced yet anxious, and more hopeful yet uncertain than ever before.It is evident that in 2025, we will be embracing a U3 world— uncertain, unpredictable, and unorthodox world. Importantly, we will be embracing an uncertain world, not wrestling with it. This reset could well define the paradox of our age—a world teeming with possibility but shadowed by lingering ambiguity. At times, it may feel like the new world is being shaped on social media streams. Reality, though, is far more intricate and consequential than a reel.The one factor that could disproportionately influence the course of the year is the T factor—The Trump Factor. This holds the potential to reshape geopolitical dynamics, with profound implications for the global economy and business. The United States has long been the most significant market for our Group outside India, with investments exceeding $15 billion, including a $4 billion greenfield expansion currently underway. I remain confident that the enduring strength of the India-US relationship will continue to deepen in the years ahead. The US economy’s dynamism remains unmatched, and our ongoing investments will contribute to the revitalization of its growing manufacturing sector. The migration of Apple’s ecosystem to India is emblematic of this transition; soon, a quarter of the world’s iPhones could be made in India. India’s automobile ecosystem, too, has matured into a global powerhouse, exporting components and vehicles to markets worldwide.Less recognized, however, is the sheer global scale of India’s cement industry—the second largest in the world. A vital national champion, it has fuelled India’s infrastructure growth, from cities to villages, while driving economic development and creating jobs. Our Group’s cement flagship, UltraTech Cement, crossed the capacity milestone of 150 MTPA in 2024. UltraTech today produces well over 1.5 times the total cement output of the United States and commands a capacity exceeding 80% of Europe’s. To me, this is a marker of India’s rising industrial strength and its emergence as a pivotal player in the global manufacturing renaissance.For us at the Aditya Birla Group, 2024 has been a year like no other— a period when the Group has truly embodied its role as an engine of big bets. We have really seen the manifestation of the breadth, depth, and scale of our businesses in terms of the number of big strategic moves we have been able to make simultaneously. From launching and scaling multiple high growth platforms like paints, jewellery retail, and b2b e-commerce for building materials, to reinforcing our leadership in core businesses like <a href="/businesses/sectors/cement/">cement</a> and <a href="/businesses/sectors/metals/">metals</a>. Among its alumni are over 6,400 start-up founders, including the creators of 17 unicorns and decacorns—testament to the institution's enduring influence.BITS Pilani has always been a crucible of critical thinking, audacious dreams, and relentless ambition. This enduring ethos was captured in a conversation I had with my great-grandfather in the 1970s. On a lazy Sunday afternoon, I remarked that BITS would ensure Pilani, a small Rajasthani hamlet, remained in the spotlight. He smiled and replied, “While Pilani’s recognition is a positive outcome, the true aim was to create a talent factory for a rapidly industrialising India.” His words remain a powerful reminder of the institution’s deeper purpose.This belief in the transformative power of talent also resonates through the Aditya Birla Scholarships, a flagship program launched 25 years ago in memory of my father. Today, the program boasts 781 scholars—a cadre of globally accomplished Indians shaping the trajectories of leading firms and institutions worldwide.I have always believed that investment in talent is the foundation upon which the future is built. And while nurturing talent is a timeless pursuit, it takes on an even greater significance as we face the complexities and opportunities of a rapidly changing era.As we mark a quarter-century into the 21st century, a profound shift is underway. The first two decades were defined by the unrelenting march of technology—social media democratized content, amplified voices, and unlocked opportunities on a scale previously unimaginable. Yet, this revolution came with a price. The same tools that connected billions also fragmented societies, polarizing public discourse and eroding trust. My submission is that we may now be approaching the peak of this divisive moment.The next decade could herald a more profound transformation — the harnessing of technology as a force for unity.
